1. Acceptance of Terms

By accessing or using the ClarioAI website, booking a consultation, submitting a contact form, or otherwise engaging with our services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Services.

These terms constitute a legally binding agreement between you and ClarioAI Inc. ("ClarioAI", "we", "us").

2. Description of Services

ClarioAI provides AI consulting, automation strategy, system design, and implementation services for businesses. Our Services include but are not limited to:

  • AI strategy and opportunity audits
  • Customer and sales automation design and deployment
  • Operations and back-office automation
  • Internal AI assistants and knowledge systems
  • Full AI operations transformation engagements

Specific deliverables, timelines, and fees are set out in individual statements of work or proposals agreed upon in writing.

3. No Guaranteed Results

While we apply industry best practices and strive to deliver measurable outcomes, we do not guarantee specific results (e.g., revenue increases, cost reductions, or operational efficiencies). AI and automation outcomes depend on factors outside our control, including your data quality, team adoption, and third-party platform behavior.

4. Consultation Bookings

Booking a free consultation does not create an obligation to purchase services. We reserve the right to decline or reschedule bookings at our discretion. Cancellations with less than 24 hours' notice may result in forfeiture of priority scheduling for future bookings.

5. Intellectual Property

All content on this website — including text, graphics, logos, and code — is the property of ClarioAI or its licensors and is protected by Canadian and international intellectual property laws.

Work product created specifically for you under a signed engagement agreement is governed by the intellectual property terms in that agreement. Absent a written agreement, ClarioAI retains ownership of methodologies, frameworks, and reusable components.

6. Confidentiality

We treat information shared during consultations and engagements as confidential. We do not disclose your business information to third parties except as necessary to deliver the Services, with your consent, or as required by law. A mutual non-disclosure agreement (NDA) is available upon request before any detailed discovery.

7. User Conduct

You agree not to use the Services to:

  • Submit false or misleading information
  • Attempt to gain unauthorized access to our systems or data
  • Interfere with the proper functioning of the website
  • Harass, abuse, or discriminate against our team members
  • Violate any applicable law or regulation

8. Third-Party Services

Our Services may integrate with third-party platforms (e.g., CRMs, scheduling tools, cloud providers). Your use of those platforms is governed by their respective terms. We are not responsible for third-party service outages, data breaches, or policy changes.

9. Limitation of Liability

To the maximum extent permitted by law, ClarioAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability shall not exceed the fees paid by you to ClarioAI in the 12 months preceding the claim.

Nothing in these terms limits liability for fraud, gross negligence, or willful misconduct.

10. Indemnification

You agree to indemnify and hold harmless ClarioAI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services or your violation of these terms.

11. Governing Law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Toronto, Ontario.

12. Changes to Terms

We may update these terms from time to time. The effective date at the top of this page indicates when the current version took effect. Continued use of the Services after changes constitutes acceptance of the revised terms.
